If the franchisor sold one or more Virginia franchises during a registration period in which fee deferral was imposed, the franchisor must complete Virginia Form L as part of the applicable registration or renewal filing.

Form L certifies that the franchisor was subject to a deferred-fee condition and identifies each Virginia franchise sold during the applicable registration period.

The form should account for all locations sold during the period covered by the certification. Additional pages may be attached when necessary.

Do Not Collect a Deferred Fee Prematurely

A franchisor subject to a fee-deferral condition should confirm that the required pre-opening obligations have been completed before collecting the deferred franchise fee. Form L requires disclosure of both the date the pre-opening obligations were met and the date the franchise fee was received.
